CPP Europe’s clinic acquisition model revealed in first accounts [Aug 2026]

A review of CPP Europe’s first statutory accounts has provided rare detail on how the group is structuring acquisitions across the UK and Ireland.

Across 10 acquisitions completed before 31 December 2025, the reported total headline consideration was £54.9 million. Of that, around £23.1 million — 42% — was paid in cash at completion. The remainder was split between shares in the acquiring group, long-term profit-share arrangements and performance-linked earn-outs. [1]

The disclosure gives a clearer picture of CPP Europe’s consolidation model. Rather than simply buying clinics outright for cash, the structure allows clinic owners to realise some value immediately while retaining exposure to future performance and, in some cases, the wider group.

CPP Europe positions itself as an alternative to traditional private-equity ownership, offering clinic owners central operational support, procurement benefits and access to a wider network while allowing them to retain clinical identity and control. [2]

The Harley View

This is probably the more interesting story than simply reporting another clinic acquisition.

The accounts show that clinic consolidation in aesthetics is becoming structurally more sophisticated.

For owners, the headline valuation is only one part of the deal. The real economics may depend on how much is paid upfront, how much is rolled into group equity, how profit share works and what conditions sit behind future earn-outs.

That makes CPP Europe useful as a case study in how the next phase of clinic consolidation may be funded.
